Terms of Service
These terms govern work you ask us to do.
1. Who we are
Scaled Minds.
2. What we deliver
Work product named in a statement of work: a full application, a running service, or systems we operate. Not an employment relationship. Not a standing admin seat in your production environment.
3. How work starts
A written brief, then a statement of work with a fixed or capped price. Work starts after you accept. We work on our machines and our box unless a scoped, written grant says otherwise.
4. Credentials and access
We do not ask for mystery production logins or cloud keys. If access is required, it is named in the statement of work, time-bounded, and revocable. Do not send secrets through the public contact form.
5. Work we will not take
We do not take HIPAA, clinical, dental, or payroll-tax filing products. We do not take staff-augmentation or arrangements that make us your employee. We do not take work we cannot finish without you at the keyboard as the operator.
6. Payment
Invoices go to the address you give. Payment terms are in the statement of work. We may pause delivery if an invoice is overdue. Billing questions: use the Write us page, topic Billing.
7. Intellectual property
On paid acceptance of a deliverable, intellectual property in that deliverable is assigned to you, except for tools, libraries, and methods we used that we already owned or that are open source. Those stay ours or their licensors’.
8. Your materials
You warrant you have the right to give us the snapshots, repositories, and text you send. You remain responsible for what you deploy.
9. Limitation of liability
We are a small firm. Our total liability under an engagement is limited to the fees you paid us for that engagement in the three months before the claim. We are not liable for lost profits, lost data, or indirect damages. This does not limit liability that the law of North Carolina will not let a firm limit.
10. Governing law
North Carolina, United States. Courts in North Carolina. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
11. Changes
If these terms change, the version linked on the date of your statement of work is the one that applies to that engagement.
